1. Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of ExpiraVault, including our website, application, and related services (collectively, the “Service”). ExpiraVault is operated by Poweird, LLC (“Poweird,” “we,” “us,” or “our”).
By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Description of the Service
ExpiraVault provides a secure document vault and expiration tracking tools intended to help contractors and solopreneurs organize business documents and receive renewal reminders (such as licenses, insurance certificates, permits, certifications, and contracts).
No Legal Advice: ExpiraVault is a tracking and organizational tool. We do not provide legal, regulatory, compliance, tax, or insurance advice.
3. Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use the Service.
4. Account Registration and Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:
- Provide accurate account information
- Keep your password secure
- Notify us promptly of any unauthorized access or suspected security breach
We are not responsible for losses arising from unauthorized access to your account due to your failure to safeguard credentials.
5. Acceptable Use
You agree not to use the Service to:
- Upload or store unlawful, infringing, or harmful content
- Upload malware, viruses, or any code intended to disrupt or compromise systems
- Attempt to gain unauthorized access to our systems or another user’s data
- Use the Service in a way that violates applicable laws or regulations
- Abuse, overload, or interfere with the Service
We may suspend or terminate accounts that violate these Terms.
6. Document Storage and Responsibility
You control what you upload to the Service. You represent that you have the right to store and manage the documents you upload.
You are responsible for:
- Ensuring documents and expiration dates are accurate
- Maintaining valid licenses, permits, insurance, and compliance documentation
- Renewing items before expiration
We are not liable for missed renewals, lapsed coverage, penalties, lost revenue, or compliance failures.
7. Reminders and Notifications
The Service may send email reminders and notifications based on the expiration dates you provide. You acknowledge that:
- Emails may be delayed or blocked by third-party systems (e.g., spam filtering)
- Delivery is not guaranteed
- You remain responsible for meeting renewal deadlines
8. Subscriptions, Billing, and Trials
ExpiraVault may offer paid subscriptions and free trials. Subscription fees and terms are presented at checkout.
- Payments are processed by third-party payment providers (e.g., Stripe).
- We do not store full payment card details on our servers.
- Subscriptions automatically renew unless canceled.
- You may cancel at any time through the billing portal or account settings (when available).
No refunds: Except where required by law, fees are non-refundable and we do not provide refunds for partial billing periods.
9. Service Availability
We strive to provide reliable access to the Service, but we do not guarantee uninterrupted availability. The Service may be unavailable due to maintenance, updates, or factors outside our control.
10. Intellectual Property
We own all rights, title, and interest in the Service, including software, branding, design, and content (excluding your uploaded documents). You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.
11. Termination
You may stop using the Service at any time. We may suspend or terminate your access if:
- You violate these Terms
- You fail to pay subscription fees (if applicable)
- We suspect fraud, abuse, or security risk
Upon termination, access to the Service may be limited or removed.
12. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of Liability
To the maximum extent permitted by law, Poweird, LLC and ExpiraVault will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, business interruption, missed renewals, or lost data, arising out of or related to your use of the Service.
In no event will our total liability exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify and hold harmless Poweird, LLC from any claims, damages, liabilities, and expenses (including reasonable attorney’s fees) arising out of your use of the Service, your uploaded content, or your violation of these Terms.
15. Governing Law
These Terms are governed by the laws of the jurisdiction where Poweird, LLC is registered, without regard to conflict-of-law principles.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last Updated” date. Your continued use of the Service after changes become effective constitutes acceptance.
